Job Summary We are seeking a proactive and motivated Legal Counsel based in our Paris office to work closely with CGNEE’s Swedish operations and the Group Legal and Compliance Department. The role focuses primarily on corporate governance, contract management, and regulatory compliance relating to our business activities in Sweden. The successful candidate will support the implementation of corporate governance practices, assist with managing legal agreements, and provide legal advice to ensure compliance with applicable requirements and mitigate legal risks. Regular collaboration with colleagues and stakeholders in Sweden will be required, with occasional business travel to Sweden as necessary. Key Responsibilities Corporate governance support: - Assist in maintaining corporate records, board resolutions, and shareholder meeting documentation for Swedish entities. Updating corporate information for Swedish companies on Bolagsverket, the Swedish Companies Registration Office website (change of director, change of address, change of articles of association, etc.). - Support the development and implementation of corporate governance policies to ensure compliance with Swedish and EU regulations. - Collaborate with internal and external stakeholders to ensure adherence to governance requirements. Contract management: - Support in review, draft, and negotiate a variety of contracts, including service agreements, NDAs, and supplier contracts. - Support the management of the contract lifecycle, ensuring timely execution and compliance with company policies. - Address contract-related queries and assist in resolving disputes. Legal compliance and risk management: - Conduct initial risk assessments for contracts and propose solutions to mitigate legal exposure. - Monitor compliance with Swedish corporate and governance laws, as well as relevant EU regulations/directives. - Assist in the preparation of regular audits of governance processes and contracts. Stakeholder engagement : - Liaise with external legal counsel, governmental authorities, and business partners as needed. - Build strong relationships with internal teams, including procurement, operations, and finance, to support business objectives. - Maintain good relationships with government authorities regarding regulatory issues. Candidate Profile Qualifications - Bachelor’s or master’s degree in law, with specialization in corporate law and governance preferred. - 4-8 years of experience in legal roles, preferably with exposure to corporate governance. - Experience working in multinational or regulated environments is an advantage. Technical & Interpersonal Skills - Analytical mindset with attention to detail and problem-solving abilities. - Be familiar with the different procedures and formalities for filing the various corporate matters with the Swedish Companies Registration Office. - Understanding of corporate governance principles and regulatory compliance in Sweden and the EU. - Good knowledge of contract management and risk assessment. - Previous experience in renewable energy sector desirable. Language - English: Full Professional Proficiency (Written and Oral). Ability to work within a multinational corporate environment. - Swedish: Full Professional Proficiency (Written and Oral). Ability to draft legal documents and conduct negotiations in Swedish is essential.
