Job Description As an M&A lawyer, you will join the Capital Markets department of Natixis' Legal Department, which is responsible for mergers, acquisitions, disposals, equity investments and joint ventures, in close contact with the finance, strategy and operational teams. On a daily basis, your tasks are to: - Participate in the structuring of operations (acquisitions, disposals, joint ventures, intra-group restructurings), by proposing the most suitable legal arrangements based on business, financial, and tax issues, in conjunction with internal teams and external advice; - Lead or contribute to legal due diligences on targets (company law, contracts, regulations, litigation, etc.), analyze identified risks and make recommendations for management and project teams; - Draft, analyze, and negotiate, as needed, in conjunction with internal teams and external counsel, all transactional documentation (letters of intent, memoranda of understanding, transfer contracts, shareholders' agreements, asset and liability guarantee agreements, price adjustment clauses, confidentiality agreements, etc.), ensuring the protection of Natixis' interests; - Monitor the regulatory and governance aspects related to operations (merger control, stock market law, sector-specific regulation, authorizations from supervisory authorities, internal validation processes), and contribute to the Governance team on the associated social and corporate documentation (convocations, resolutions, minutes, legal formalities); - Ensure post-closing monitoring of operations (implementation of guarantees, post-closing conditions, commitments by the parties, handling any disputes related to declarations and guarantees); - Ensure legal and practical monitoring of M&A (legislative developments, case law, market practices), contribute to the improvement of document templates and internal procedures, and participate in raising team awareness of the legal issues involved in transactions. Reporting directly to the head of the Capital Markets department in Natixis' Legal Department, you work closely with its transaction teams. In a strong partnership dynamic, you actively collaborate on a daily basis with the M&A team of BPCE’s Legal Department, thus promoting an integrated and seamless approach within the Group. Required Skills/Qualifications/Experience About you: If this is your description, you are made to work with us! Higher education in business, corporate or financial law (minimum Master 2), ideally complemented by a double degree, you have 6 years of experience in legal functions or lawyer specialized in mergers and acquisitions, private equity or corporate (in a firm, investment bank or fund). You master: - Drafting and negotiating complex transactional documents; - Mergers and acquisitions (M&A) and private equity operations; - Corporate and financial law; - The practice of English law or legal documentation under Anglo-Saxon law (a plus). You have excellent interpersonal skills, a very good ability to listen; you are: - Rigorous and responsive; - Proactive and endowed with a great sense of initiative; - Curious and you like to discover new subjects. You are proficient in English with a C1 level.
