The Position As Legal Counsel, you will work closely with the Finance team, as well as with the Startup, Investor and Tech teams. No two days are the same at OneRagtime, and your main responsibilities will include: Regulatory and compliance (funds and management company) • Monitoring OneRagtime’s regulatory obligations as an AMF-registered management company and ensuring compliance, with the support of the RCCI (Compliance and Internal Control Officer). • Managing communication with the regulatory authorities and ensuring the timely delivery of required reporting. • Carrying out investor KYC (Know Your Customer) checks. • Drafting and updating fund documentation: fund regulations, side letters, committee minutes and subscription forms. Investments and fundraising rounds • Defending the interests of OneRagtime and its portfolio companies in investment transactions and fundraising rounds. • Negotiating investment terms with founders and the related legal documentation: letters of intent, term sheets, shareholders’ agreements (including waterfall and liquidity clauses), representations and warranties. • Drafting investor-facing documentation, such as subscription agreements and distribution documentation. • Supporting our portfolio companies to ensure a smooth post-investment experience. Corporate and day-to-day legal matters • Corporate follow-up of the management company and its affiliated companies. • Setting up and managing SPVs company, including their incorporation (articles of association and corporate documentation). • Handling day-to-day legal matters, including NDAs and contract reviews. • Acting as the point of contact for our external partners (law firms, auditors, RCCI, France Invest, France Digitale, etc.). • Helping to digitalize our legal and regulatory processes as part of the OneRagtime tech platform. What we are looking for We are looking for someone who shares our values and brings: • At least 2 years of experience in fund structuring, venture capital or private equity, either within a fund or at an international law firm. • A strong academic background, ideally combining business and law. • A solid understanding of startup fundraising mechanisms and fund structuring. • A real passion for startups and the tech industry. • The ability to take initiative and quickly work autonomously. • A strong entrepreneurial mindset. • Fluency in English and French.
